The Company Secretary is responsible for the efficient administration of a company, particularly with regard to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the Board of Directors are implemented.
Despite the name, the role is not a clerical or one in the usual sense. The company secretary ensures that an organization complies with relevant legislation and regulation, and keeps board members informed of their legal responsibilities. Company secretaries are the company’s named representative on legal documents, and it is their responsibility to ensure that the company and its directors operate within the law. It is also their responsibility to register and communicate with shareholders, to ensure that dividends are paid and to maintain company records, such as lists of directorsand shareholders, and annual accounts.
Course Structure:
- The CS course at the Final level (ICSI: Final Examination) consists of only theoretical examinations. There are 15 subjects arranged into 3 groups of 3 papers each of 100 marks.
- To pass a student has to obtain a minimum of 40% in each paper and an aggregate of 50% in all the papers of a group together, failing which the student has to reappear in all the papers of the group again.
- There are certain exemptions in cases where the student has failed the examination but has obtained high marks in one or more papers.
- A student has to get through these to be eligible for MEMBERSHIP of the institution.
